INFORMATION FOR CLIENTS
Here are some basic prerequisites and conditions for professional and transparent cooperation.
Duration of the contract
The cooperation is governed by a contract which runs until further notice until either party terminates the contract in writing. The notice period is three months. If the agreement is terminated, compensation is paid for the work performed by the Agency and for costs incurred up to and including the last day of the notice period.
Fees/Payment terms
The fee for services rendered is based on the Agency's hourly rate applicable at any given time, excluding VAT, for each consultant. Alternatively, a fixed monthly fee may be agreed. If the fixed monthly fee proves to be too high or too low in terms of actual time spent, both the Agency and the Client are entitled to request a correction. Payment shall be made no later than 30 days after the invoice date. Invoicing for ongoing work takes place twice a month and covers work from the first to the 15th and from the 16th to the last day of the month. Under this agreement, the customer receives a 25% discount on services relating to tax advice, business law and IT services. In the event of late payment, the statutory fee for payment reminders and interest will be charged.
The Agency's right to suspend work or terminate the contract immediately
Taking into account the necessary need of all undertakings to receive client payments in order to be able to pay their costs, the Agency is entitled to stop working for the Client or to terminate the contract with immediate effect in the following situations
- If the Client is more than four weeks late in making payments to the Agency after the due date of the invoice, the Agency shall be entitled to suspend further work until payment is made.
- If the Client is more than eight weeks late in making payment to the Agency after the due date of the invoice, the Agency shall be entitled to terminate the contract immediately.
- If the Client repeatedly fails to provide agreed material, withholds relevant information or otherwise makes it impossible to carry out the assignment as agreed, the Agency is entitled to terminate the contract.
- If the Client fails to provide information relevant to the Agency's responsibilities under the anti-money laundering and counter-terrorism regulations, the Agency is entitled to terminate the contract.
Client's right to terminate the contract
In the following situation, the Client has the right to terminate the contract with immediate effect:
- where the Agency is in manifest breach of an essential obligation under this Agreement and fails to take steps to remedy that breach within a reasonable time.
Confidentiality and electronic communication
The parties undertake not to disclose information or knowledge about the other party, which the party has obtained due to the assignment under this agreement and which is not already publicly known or appears from official decisions. Agreements and other documents drawn up between the Parties are confidential. The parties are responsible for ensuring that the obligation of confidentiality is also observed by their staff and subcontractors.
This obligation of confidentiality continues to apply even after the contract has ended.
The parties agree to use electronic communication and are aware of the risks this may entail. The Parties shall use normally accepted methods of virus protection and confidentiality protection.
Amendments and supplements
Amendments and supplements to this Agreement shall be in writing and signed by both Parties.
Force majeure
External events beyond the control of the parties (e.g. government measures, war, mobilization, increased defence readiness, labour dispute, natural disaster) and which are not only of a temporary nature and which prevent the performance of the contract entitle either party to withdraw completely from its obligations and rights under this agreement without consequences. The contracting party shall immediately notify the other party when the force majeure occurs and when its consequences cease.
Disputes
Disputes between the parties shall be settled in the first instance by negotiation and in the second instance by the courts of the place where the Agency has its seat.
Assignment
The rights and obligations of a party under the contract may be assigned only with the written consent of the other party.
OUR POLICY ON THE PROCESSING OF PERSONAL DATA (UNDER THE GDPR)
It is important that all clients feel safe when providing their personal data to Barlington Consulting AB (the Firm). We process personal data only to administer your data that we handle.
Personal data is any information that can be directly or indirectly attributed to a natural person.
For example, images and sound recordings processed on a computer can be personal data even if no names are mentioned. Encrypted data and various types of electronic identities (e.g. IP numbers) are personal data if they can be linked to natural persons. Processing of personal data is anything that happens to personal data. Any action taken with personal data constitutes processing, whether or not it is carried out by automated means. Examples of common processing operations are collection, recording, organization, structuring, storage, adaptation, transmission and erasure.
The data handled by the Agency are treated in a secure manner and protected against intrusion, alteration and destruction. Only a limited number of persons with specific authorization have access to the data and all data are stored in a virus-proof and firewalled database. Data is collected only from you.
Among other things, we process your personal data in order to fulfill our obligations to you and your company. In some cases, we may have a legal obligation to process your personal data, such as to comply with the requirements of the Accounting Act.
By using our services, you consent to the processing of your personal data. You have the right to withdraw your consent. In this case, the Agency will not process any further personal data or update previously provided personal data about you.
The Agency processes personal data with as few people as possible involved. Data recorded is not disclosed to anyone outside the Agency. Thus, no personal data is sold to other organizations or companies.
The Agency has processor agreements with the organizations that process personal data on behalf of the Association. These agreements contain provisions on confidentiality and security of personal data processing. Your personal data will only be kept for as long as there is a need to keep them in order to fulfill the purposes for which the data was collected. However, data may be kept for longer if necessary to comply with legal requirements or to safeguard legal interests.
You always have the right to request access to your personal data. This means that you have the right to request an extract from the register of the processing we carry out on your personal data.
You also have the right to receive a copy of the personal data being processed. You have the right to receive, once per calendar year, by means of a signed written request, free of charge, an extract from the register of which
personal data is registered about you, the purposes of the processing and to which recipients the data has been or will be disclosed.
At your request, we will correct any inaccurate or incomplete data we process about you as quickly as possible.
You have the right to request that your personal data be deleted if it is no longer necessary for the purpose for which it was collected. However, we may not be required by law to delete your personal data immediately, for example for accounting and tax purposes.
You also have the right to restrict your personal data so that it may only be processed for the purposes of the Office and you also have the right, under certain conditions, to obtain and transmit your personal data in a structured, commonly used and machine-readable format to another controller.
The Swedish Data Protection Authority is responsible for monitoring the application of the legislation and if you believe that the Agency is handling your personal data incorrectly, you can report this to the Data Protection Authority Box 8114, 104 20 Stockholm.
